Referral Fee Terms & Conditions

1. Eligibility

   • Referrals must be submitted in writing (email or form) before we were already aware of the opportunity or candidate.

   • A referral is only valid once we confirm acceptance in writing.

2. Referral Fee

   • A referral fee of 25% of the net recruitment fee we receive (typically 15% of the contractor’s day rate) will be payable for:
     a) a job contract opportunity you refer that results in us supplying a contractor, and/or
     b) a candidate you refer who is successfully placed in a contract.

   • Fees are only payable where your referral directly results in a placement.

3. Payment Terms

   • Referral fees are calculated monthly in arrears and only become payable after we have received cleared funds from the client.

   • No payment will be made where the client fails to pay, cancels, disputes, or seeks a refund.

   • If a client pays late or partially, referral payments will be adjusted proportionately.

4. Duration of Payments

   • Referral fees will continue for as long as the contractor remains on contract with the client through us, including any extensions or renewals agreed with the same client.

   • Referral fees will cease immediately if:
     a) the client engages the contractor directly or via another agency,
     b) we cease to receive payment for that contractor from the client, or
     c) the contract is terminated for any reason.

   • If the contractor transitions into a permanent role with the client, no further referral fees are payable from the date of permanent employment.

5. Multiple Referrals

   • Where more than one person refers the same job or candidate, the fee will be paid to the first valid referral received and acknowledged by us.

   • Our determination of who made the first valid referral shall be final.

6. Adjustments & Errors

   • We reserve the right to withhold, adjust, or reclaim referral payments in cases of invoicing errors, client clawbacks, or misrepresentation.

7. Termination or Variation

   • We may withdraw or amend this referral scheme at any time with immediate effect for new referrals.

   • Any referrals accepted before such withdrawal will continue to be honoured in line with these Terms.

8. Relationship & Liability

   • Participation in this scheme does not create any employment, partnership, or agency relationship.

   • Our liability is strictly limited to referral fees properly due under these Terms.

   • We are not liable for lost opportunities, consequential loss, or indirect damages.

9. Privacy Policy

   • Please ensure you have read our privacy policy and, if uploading a CV on behalf of somebody else, please ensure you have their permission before doing so.

10. Governing Law

    • These Terms are governed by and construed under the laws of the United Kingdom
